End-User License Agreement (EULA) of Spyrix

This End-User License Agreement ("EULA") is a legal agreement between you and Spyrix.

This EULA governs your acquisition and use of the Spyrix software ("Software") obtained directly from Spyrix or indirectly through an authorized reseller or distributor (a "Reseller").

Please read this EULA and the Terms and Conditions carefully before completing the installation process and using the Spyrix software. They provide a license to use the Spyrix software and contain warranty information and liability disclaimers.

If you register for a free trial of the Spyrix software, this EULA will also govern your trial. By clicking "accept" or by installing and/or using the Spyrix software, you confirm your acceptance of the Software and agree to be bound by the terms of this EULA.

If you are entering into this EULA on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms. If you do not have such authority, or if you do not agree with the terms of this EULA, you must not install or use the Software and must not accept this agreement.

You expressly understand and agree that your use of the services is at your sole risk, and the services are provided "AS IS" and "AS AVAILABLE," with all faults, without warranty of any kind and without performance assurances or guarantees of any kind.

This EULA applies only to the Software supplied by Spyrix, regardless of whether other software is referenced or described herein. These terms also apply to any updates, supplements, Internet-based services, and support services for the Software provided by Spyrix, unless separate terms accompany those items. In that case, those terms shall apply.

License Grant

Spyrix hereby grants you a personal, non-transferable, non-exclusive license to use the Spyrix software on your devices in accordance with this EULA.

You are permitted to load the Spyrix software onto devices (e.g., PC, laptop, mobile, or tablet) under your control. You are responsible for ensuring that your device meets the minimum system requirements of the Software.

You may install Spyrix only on devices that you rightfully own or for which you have obtained the rightful owner's written permission. You are required to properly inform all users of any device on which you install the Software that they are being monitored. If the device is located in a public area, a monitoring notice must be displayed in plain sight. Failure to comply with these conditions may result in legal violations and may lead to financial and criminal penalties.

Spyrix licenses are strictly limited to the number of devices specified in the license terms and are non-transferable. You may not transfer a registered license from one device to another. If you need to use Spyrix on more devices than your license allows, you must purchase an upgrade.

You may install and use Spyrix only on devices that you own or on which you have documented authorization from the rightful owner.

Employers must provide prior written notice to employees as required by applicable law.

Parents may use Spyrix only to monitor their own minor children.

User Permission

  • Edit, alter, modify, adapt, translate, or otherwise change the Software, nor permit the Software to be combined with or incorporated into any other software, nor decompile, disassemble, or reverse engineer the Software, or attempt to do any such things.

  • Reproduce, copy, distribute, resell, or otherwise use the Software for any commercial purpose.

  • Transfer registered licenses from one device to another.

  • Allow any third party to use the Software on behalf of or for the benefit of any third party.

  • Use the Software in any way that violates applicable local, national, or international laws.

  • Use the Software for any purpose that Spyrix considers a breach of this EULA.

Data Processing Role

For business use, the employer acts as the Data Controller and Spyrix acts as the Data Processor. Spyrix processes monitoring data exclusively under the employer's instructions.

Intellectual Property and Ownership

Spyrix shall retain ownership of the Software as originally downloaded by you and all subsequent copies or updates. The Software - and all copyrights and intellectual property rights within it, including modifications - remain the sole property of Spyrix.

Spyrix reserves the right to grant licenses to third parties.

Termination

This EULA is effective from the date you first use the Software and remains in effect until terminated. You may terminate it at any time by providing written notice to Spyrix.

This agreement will also terminate immediately if you fail to comply with any of its terms. Upon termination, the licenses granted herein will immediately cease, and you agree to stop all access to and use of the Software. Provisions that by their nature should survive termination will remain in effect.

Governing Law

This EULA and any dispute arising out of or in connection with it shall be governed by and construed in accordance with the laws of the United States of America.

Cloud Storage

Monitoring data may be stored on secure servers in the United States and the European Union. This involves international data transfers subject to privacy regulations.
